Pilot terms

These terms cover the Banvero pilot. They are written to be read, not endured. If anything here is unclear, email hello@banvero.com before you apply and we'll explain it plainly.

Who provides the service

Banvero is a trading name of Wowl Limited, a company registered in Scotland (company number SC770389), registered office 5 South Charlotte Street, Edinburgh, Scotland, EH2 4AN. In these terms, "Banvero", "we" and "us" mean Wowl Limited. "You" means the person or company using the pilot. Accountant reviews are carried out by RR Accountants, a separate regulated UK firm, under their own engagement terms.

What Banvero is — and is not

Banvero is company secretarial and filing software for UK company directors who are not accountants. We help you form a company, keep your statutory registers, and prepare and submit routine filings to Companies House and HMRC on your instruction.

Banvero itself is not a regulated accountant, tax adviser, or law firm, and the software does not give regulated financial, tax, or legal advice. Where you need a formal opinion, we connect you to RR Accountants. You remain the director, and the legal responsibility for your filings stays with you — our job is to make it hard to get wrong.

The pilot

The pilot is limited to 10 companies. Every application is reviewed by a person before payment is requested. Payment is taken only after your application is accepted. During the pilot, features may change, and we will ask for your feedback — that is the point of a pilot.

What we do for you

Depending on the plan you are accepted onto, the pilot includes:

  • Company formation, or migration of an existing company into Banvero.
  • Your statutory registers, kept in sync with Companies House.
  • Deadline tracking and reminders for confirmation statements, accounts, and tax.
  • Preparation and submission of routine filings, on your instruction.
  • Structured reviews delivered by RR Accountants where your plan includes them.

Your responsibilities

You give us accurate, up-to-date information about your company and the people in it, and you tell us when something changes. You approve each filing before we submit it. Filings are made on your authority as a director. We will not submit anything to Companies House or HMRC that you have not confirmed.

Fees and payment

Your subscription fee is shown to you before you pay, and is charged monthly in advance. Government fees charged by Companies House or HMRC (for example the confirmation statement fee or an incorporation fee) are separate, shown at the point of filing, and passed through at cost. There are no hidden charges.

Refunds and cancellation

Cancel any time for a pro-rata refund of your unused subscription. One-time work that has already been delivered is non-refundable: a formation once submitted to Companies House, a migration once started, and an accountant review once delivered. Government fees already paid on your behalf cannot be refunded by us.

Accountant reviews

Reviews are provided by RR Accountants, a regulated UK firm, under their own engagement terms, which you agree to when you request a review. Banvero arranges and presents the review inside your workspace but is not responsible for the professional judgement in it. Each review has a clear scope, agreed before it begins.

Your data

We process your company and personal data to run the service, in line with UK GDPR and our Privacy Policy. We do not sell your data. You can export your records and ask us to delete your account at any time. Where you connect a bank feed, we receive read-only transaction data and never your banking credentials.

Our responsibility to you

We take reasonable care to prepare and submit your filings correctly and on time once you have approved them. Nothing in these terms limits our liability for anything that cannot lawfully be limited. Otherwise, our total liability to you is limited to the fees you paid us in the 12 months before the issue arose. We are not liable for penalties resulting from information you gave us late or incorrectly, or from a filing you chose not to approve in time.

Ending the pilot

You can leave at any time. We may end the pilot with 30 days' notice, or immediately if the service is misused. If the pilot ends, we help you export your records and, where you ask, transfer your company's registered office and filing responsibilities elsewhere so nothing is left in limbo.

Changes to these terms

Because this is a pilot, we may update these terms. If a change materially affects you, we will tell you by email at least 14 days before it takes effect, and you can cancel for a pro-rata refund if you do not agree. These terms are governed by the law of England and Wales.
